GENERAL TERMS AND CONDITIONS OF LICENSE
THE WHAT MAP

The non-exclusive publication, WHAT MAP, is offered for license by Exploration Geosciences Limited (EGL) on the following terms and conditions:

1. The WHAT MAP contains copyright data and is produced as a module to PetroView® (with Deloitte’s) and as a Flash Application (website access and CD).

2. The WHAT MAP covers professional interpretation of geological/geophysical data for the offshore areas of the United Kingdom Continental Shelf.

3. The WHAT MAP is offered for license on an annual subscription.
The PetroViewR Module and the Flash Application CD are updated quarterly and the Flash Application website updated monthly.

4. In consideration of subscribing to license a yearly subscription for --------- version of the WHAT MAP _____________(LICENSOR) agrees to pay to EGL the sum of £---------- per annum. This price quoted is exclusive of any tax, customs duties or other levies which may be payable on license of the report. Licensor agrees to pay any such levies.

5. Licensor acknowledges that EGL has made a substantial investment in preparation of the WHAT MAP, and that the WHAT MAP is copyright material of EGL. Save as specifically authorised herein Purchaser shall not by act or default infringe or cause or allow to be infringed such copyright. Licensor shall protect such copyright and the WHAT MAP in all respects at least in the same manner and to the extent that it protects its own confidential material.

6. The WHAT MAP is for the sole use of Licensor and may only be copied or duplicated in whole or part for internal use. Licensor shall not at any time disclose, lend, publish, sell or trade the WHAT MAP, or in any way dispose of or make available to third parties all or any of the WHAT MAP. Liability for breach of these terms and conditions shall remain at all times with Licensor.

7. No publication of information derived from or relating to the WHAT MAP shall be made without the express written consent of EGL.

8. EGL has taken all normal and reasonable steps to ensure that the WHAT MAP is accurate. EGL warrants that the WHAT MAP has been produced to and within standards currently operating within the industry. EGL gives no further or other warranty as to conditions, quality or fitness for any particular purpose and any such warranty is specifically excluded whether implied by law or otherwise.

9. The license of the WHAT MAP to Licensor is on a non-exclusive basis, and EGL may license all or part of the WHAT MAP to any other party at any price it thinks fit.

10. The use and confidentiality restrictions contained in these terms and conditions shall apply for 10 years from the date of purchase of the WHAT MAP. The confidentiality restrictions do not apply to any data which enters the public domain.

11. License of the WHAT MAP and these terms and conditions shall be governed by and construed and interpreted under the law of England and Wales.

The most recent update of the WHAT Map includes a revision of the geology base (structure/hydrocarbon kitchen areas) and an extension of the reservoir/geology layers to the East Shetland area, completing a full set maps for the northern, central and southern North Sea areas.


Future Editions :

Addition of individual well data points for reservoir layers to Central Graben and Southern North Sea sheets (as recently done for Northern North Sea sheet).
